DevOps Assist AI Terms of Service

These Terms of Service (these "Terms") are entered into between you ("Customer," "you," or "your") and DevOps Assist LLC ("DevOps Assist," "we," "us," or "our"), and govern access to and use of the websites owned or operated by DevOps Assist (the "Websites"), the DevOps Assist AI extension and related software-as-a-service offerings (the "Platform"), and DevOps Assist's published documentation (the "Documentation") (the Websites, the Platform, and the Documentation are collectively, the "Services").

By clicking an acceptance button or checkbox presented with these Terms, installing, accessing, or using the Services, you agree to be bound by these Terms. If you are accessing or using the Services on behalf of an entity (such as your employer), you agree to these Terms on behalf of yourself and that entity, you represent that you are authorized to accept these Terms on behalf of that entity, and all references to "Customer" reference that entity. If you do not have the authority to bind such entity or do not agree with these Terms, you (and the entity) are not authorized to access or use the Platform.


1. DevOps Assist Obligations

1.1 Access to the Services

Subject to the terms and conditions of these Terms, DevOps Assist grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right for Customer (and, where applicable, its Authorized Users) to access and use the Services for Customer's internal business purposes. "Authorized User" means employees, contractors, and other persons associated with Customer who access or use the Platform through Customer's account or Azure DevOps organization.

1.2 Data Protection

DevOps Assist implements and maintains physical, technical, and administrative security measures designed to protect the work item data, code snippets, and other content that Customer or its Authorized Users submit to or process through the Services ("Customer Content") from unauthorized access, use, or disclosure. DevOps Assist acts as Customer's service provider, contractor, or processor under applicable U.S. state privacy laws for personal information in Customer Content. DevOps Assist acts as an independent business or controller for account, billing, transaction, security, support, and Usage Data that it determines how and why to process. DevOps Assist's processing practices are described in its Privacy Policy, available at https://devopsassist.com/privacy/.

1.3 Third-Party Products

Applications and materials developed or provided by a party other than DevOps Assist, including Microsoft Azure DevOps, source control systems, integrations, and code components (collectively, "Third-Party Products"), are not part of the Services. Customer's use of Third-Party Products is governed solely by the terms between Customer and the applicable third-party provider.


2. Service Terms

2.1 Who May Use the Services

Customer may only use the Services if Customer is of legal age to enter into these Terms according to applicable law in Customer's jurisdiction, and, with respect to AI Features, only if Customer is 18 years of age or older.

2.2 Use Restrictions

Except as expressly authorized in these Terms, Customer will not, and will not encourage or assist third parties to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services (except to the extent such a restriction is impermissible under applicable law); (ii) provide, sell, resell, transfer, sublicense, lend, distribute, or rent the Services, or otherwise allow others to access or use the Services; (iii) copy, modify, create derivative works of, or remove proprietary notices from the Services; or (iv) use the Services for any unlawful or unauthorized purpose, or in jurisdictions embargoed or designated as supporting terrorist activities by the United States Government.

2.3 Acceptable Use

Customer will use the Services in compliance with all applicable laws and regulations and will not use the Services to transmit any malware, viruses, or other harmful code, or to gain unauthorized access to any systems or networks.

2.4 Account Management

(a) Customer will appoint one or more administrative users for its account. Each administrative user has the authority to manage Customer's account, add or remove Authorized Users, approve purchases, and take binding action relating to the Services on Customer's behalf.

(b) Each Authorized User's account is personal to that Authorized User. Account credentials may not be shared or used by anyone other than the individual to whom they were provisioned. Customer is responsible for all activities of its Authorized Users and for their compliance with these Terms.

(c) Customer will provide accurate and complete account information and maintain its accuracy. Customer is responsible for maintaining the confidentiality of usernames and passwords. DevOps Assist will not be responsible for any damages, losses, or liability arising from any event that could have been prevented by the use of available security controls, such as multi-factor authentication.

2.5 Customer Content

As between the parties, Customer retains all right, title, and interest in Customer Content. Subject to applicable law, Customer owns AI-generated output created specifically from Customer's input, if any ownership rights arise in that output. Customer authorizes DevOps Assist and its service providers to host, copy, use, display, transmit, modify, and process Customer Content as reasonably necessary to provide, secure, support, and improve the Services, fulfill Customer's instructions, and perform activities contemplated by these Terms. Customer represents that it has all rights, permissions, notices, and consents required for such processing.

2.6 Feedback

Customer may voluntarily provide DevOps Assist feedback, comments, or suggestions concerning the Services ("Feedback"). Customer grants DevOps Assist a royalty-free, worldwide, transferable, sublicensable, irrevocable, and perpetual license to use, reproduce, modify, incorporate, commercialize, distribute, and otherwise exploit Feedback without restriction or obligation to Customer. Feedback does not include Customer Content or Customer's Confidential Information.

2.7 Usage Data

DevOps Assist may collect and analyze data relating to the access, use, security, and performance of the Services ("Usage Data") to operate, secure, maintain, support, and improve the Services and verify compliance with usage limits. Examples include technical logs, metadata, telemetry data, error logs, and feature usage frequency. DevOps Assist may retain and use Usage Data in de-identified and aggregated form for analytics, reporting, planning, research, and product development, provided it does not identify Customer or any individual or disclose Customer's Confidential Information. Usage Data excludes Customer Content itself.

2.8 AI Features

The Services include features that use artificial intelligence to generate content such as work item descriptions, summaries, code review suggestions, and release notes ("AI Features"). Customer acknowledges that:

DevOps Assist may use de-identified and aggregated input and output to maintain and improve AI Features, unless an applicable Software Subscription Agreement or Order Form states otherwise.

2.9 Reservation of Rights

The Services and Documentation, including their software, models, algorithms, workflows, interfaces, designs, technology, updates, modifications, enhancements, and derivatives, are licensed, not sold. DevOps Assist and its licensors retain all right, title, and interest in them, including all related intellectual property rights. All rights not expressly granted are reserved.

2.10 Free and Paid Trials

DevOps Assist may offer free or paid trials for evaluation purposes (each, a "Trial"). Before a paid Trial begins, DevOps Assist will clearly disclose its fee, payment timing, duration, included features and limits, and whether it renews or converts to a paid subscription. By activating a paid Trial, Customer authorizes the disclosed charge. Trial fees are non-refundable after activation except as disclosed at activation, required by law, or provided in an applicable Software Subscription Agreement.

A Trial will not renew or convert to a paid subscription unless DevOps Assist clearly discloses the post-Trial fees, billing frequency, renewal terms, and cancellation method and Customer expressly authorizes the renewal or conversion. Without that authorization, access ends when the Trial expires. Trials are provided "AS IS" and "AS AVAILABLE," without warranties, indemnification obligations, service levels, or support commitments.

2.11 Integrations

Customer may enable the Services to interoperate with Third-Party Products. By enabling an integration, Customer authorizes DevOps Assist and its service providers to access, exchange, transmit, and process Customer Content with the applicable provider as directed by Customer and as reasonably necessary to provide the integration. DevOps Assist is not responsible for Third-Party Products or for Customer Content after transmission to a third party at Customer's direction.


3. Billing

3.1 Fees

The Platform is offered under different pricing plans, limits, and features described at https://devopsassist.com/pricing/ or when Customer purchases or activates an offering. Paid Trial fees are due at activation unless otherwise disclosed. Subscription fees are due and payable in advance in full unless otherwise stated at the time of purchase.

3.2 Renewals

Unless Customer cancels, subscriptions will automatically renew at the then-current rate and quantity in Customer's account on the renewal date.

3.3 Cancellation

Customer may elect not to renew a subscription by giving notice of cancellation before the end of the current subscription term. Any cancellation takes effect at the end of the then-current subscription term.

3.4 Refunds

Unless otherwise specified in these Terms, fees paid are non-refundable, and quantities purchased cannot be decreased during the relevant subscription term.

3.5 Changes to Pricing

DevOps Assist reserves the right to change its fees. Changes that apply to an existing recurring subscription will take effect at the next renewal. Notice of pricing changes may be provided by email or through the Platform.

3.6 Taxes

Fees do not include taxes. Each party is responsible for the payment of all taxes imposed on it by law, other than taxes based on DevOps Assist's net income.


4. Confidentiality

Each party (the "Recipient") will use the other party's ("Discloser") Confidential Information only to exercise its rights and perform its obligations under these Terms, and will not disclose it to third parties other than its employees, contractors, affiliates, agents, or professional advisors who need to know it and who are bound by confidentiality obligations no less restrictive than those herein. "Confidential Information" includes non-public information regarding the features, functionality, performance, and security of the Services, and Customer Content. The Recipient may disclose Confidential Information to the extent required by applicable legal process, provided it uses commercially reasonable efforts to notify the Discloser in advance where permitted by law.


5. Warranties and Disclaimers

5.1 Mutual Warranties

Each party represents and warrants that (a) its performance of these Terms does not violate any other agreement to which it is bound, and (b) it will perform its obligations in accordance with applicable law.

5.2 DevOps Assist Warranty

DevOps Assist warrants that, during the applicable subscription term, it will provide access to the Platform in substantive conformity with the Documentation, and will employ industry-standard measures to protect the Platform against software viruses, Trojan horses, worms, or other similar malicious code.

5.3 Disclaimer

EXCEPT FOR THE EXPRESS WARRANTIES STATED IN THIS SECTION 5, THE SERVICES ARE PROVIDED "AS IS," AND DEVOPS ASSIST DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, TITLE, AND NON-INFRINGEMENT. THIRD-PARTY PRODUCTS ARE PROVIDED BY THIRD PARTIES, NOT DEVOPS ASSIST, AND DEVOPS ASSIST HAS NO RESPONSIBILITY OR LIABILITY FOR THIRD-PARTY PRODUCTS.


6. Indemnity

Customer will indemnify, hold harmless, and, at DevOps Assist's option, defend, DevOps Assist from any third-party claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal fees, arising out of or related to (a) Customer Content, or (b) Customer's violation of these Terms.


7. Limitations of Liability

7.1 Limitation of Indirect Liability

UNDER NO CIRCUMSTANCES, AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR ANY OTHER THEORY OF LIABILITY), WILL DEVOPS ASSIST, ITS AFFILIATES, OR ITS OR THEIR CONTRACTORS, EMPLOYEES, AGENTS, OR THIRD-PARTY PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE OR COST OF COVER) ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Limitation on Amount of Liability

UNDER NO CIRCUMSTANCES WILL THE TOTAL LIABILITY OF DEVOPS ASSIST AND ITS AFFILIATES FOR ANY AND ALL DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE GREATER OF: (a) $100; OR (b) THE SUBSCRIPTION FEES PAID BY CUSTOMER TO DEVOPS ASSIST IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

7.3 In General

Each provision of these Terms that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages allocates the risks of these Terms between the parties, and is an essential element of the basis of the bargain. The limitations in this Section 7 apply to the maximum extent not prohibited by law.


8. Term and Termination

8.1 Term

These Terms take effect when Customer first accepts, accesses, or installs the Services and continue until Customer's Trials and subscriptions have expired or been terminated and, for free offerings, until Customer's account is deleted or the Extension is uninstalled.

8.2 Termination

DevOps Assist may terminate or suspend Customer's access to the Services for nonpayment, misuse, a security risk, or failure to comply with these Terms. If DevOps Assist cancels a paid Trial or subscription for convenience and not because of Customer's breach, misuse, security risk, or nonpayment, DevOps Assist will provide a pro rata refund of prepaid fees attributable to the unused period, unless legally prohibited from doing so.

8.3 Effect of Termination

Upon termination, Customer will cease all use of the affected Services and, for the Extension, delete all copies. For a paid subscription, DevOps Assist will, upon request and to the extent permitted by law, make Customer Content then held by DevOps Assist available for electronic retrieval for thirty (30) days, after which it may delete the content. DevOps Assist has no obligation to retain Customer Content submitted during a Trial after the Trial ends. Sections 2, 4, 5.3, 6, 7, 8, and 9 survive termination.


9. Miscellaneous

9.1 Changes to These Terms

DevOps Assist may modify these Terms at any time. DevOps Assist will post the most current version on its Websites and will endeavor to provide reasonable advance notice of any change that materially affects Customer's rights. By continuing to use the Services after revised Terms become effective, Customer agrees to be bound by the new Terms.

9.2 Changes to the Services

DevOps Assist may add, change, or remove features of the Services, or discontinue the Services, at any time. If DevOps Assist discontinues a paid Service, it will migrate Customer to a substantially similar service where commercially reasonable or, if not, provide a pro-rata refund of prepaid fees for the remaining subscription period.

9.3 Force Majeure

DevOps Assist will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, so long as it uses commercially reasonable efforts to avoid or remove those causes.

9.4 Notices

Notices from DevOps Assist under these Terms may be provided through the Platform, on the Websites, or by email to the address associated with Customer's account.

9.5 Severability; No Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. No failure to enforce any provision constitutes a waiver of that provision.

9.6 Assignment

These Terms are not assignable or transferable by Customer without DevOps Assist's prior written consent. Any purported assignment in violation of this section is null and void. DevOps Assist may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

9.7 Service Providers

DevOps Assist may engage third-party service providers to support its performance of these Terms and remains responsible for their compliance.

9.8 No Partnership

No agency, partnership, joint venture, or employment is created as a result of these Terms, and neither party has authority to bind the other.

9.9 Governing Law and Venue

These Terms and all claims arising out of or relating to them are governed by the laws of the State of Illinois, without regard to its conflict of law principles. The state and U.S. federal courts located in Cook County, Illinois will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and both parties consent to the jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed.

9.10 Export Control

The Services and Customer's use thereof are subject to U.S. export control and economic sanctions laws and regulations. Customer represents that it is not on any U.S. Government list of prohibited or restricted parties and will comply with all applicable export controls in its use of the Services.

9.11 Interpretation

Whenever the words "including," "include," "includes," or "such as" are used in these Terms, they will be deemed to be followed by the phrase "without limitation."

9.12 Entire Agreement

These Terms, together with the Privacy Policy and applicable ordering documentation, supersede all other agreements between the parties relating to their subject matter. If there is a conflict, the order of precedence is: (a) an applicable Software Subscription Agreement; (b) a Statement of Work, solely for Professional Services under that Statement of Work; (c) an Order Form, solely for the Products purchased under that Order Form; and (d) these Terms. Terms stated in any Customer purchase order or vendor management portal are void unless expressly accepted in writing by DevOps Assist.
